Welcome to EliuAI (“EliuAI”, “we”, “our”, or “us”).

EliuAI helps engineering managers and teams collect notes, wins, and action items, and uses artificial intelligence to provide insights and recommendations.
By using the Service, you understand that all AI outputs are assistive in nature and should not be treated as factual or authoritative advice.

2. Eligibility

You must be at least 18 years old to use EliuAI. By using the Service, you represent that you are of legal age and have the authority to agree to these Terms.

If you are accessing the Service on behalf of a company or organization, you agree that you have the authority to bind that entity to these Terms.

3. Accounts and Security

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You may not:

  • Reverse-engineer, decompile, or copy the Service.
  • Resell or distribute any AI outputs or data generated through the Service without permission.

All feedback, suggestions, or ideas you submit may be used by EliuAI without obligation or compensation.

6. Subscriptions and Payments

EliuAI offers subscription-based access. By subscribing, you agree to:

  • Pay all applicable fees and taxes.
  • Allow automatic renewals unless canceled before your next billing cycle.
  • Accept that pricing may change, with notice provided before renewal.
  • Understand that all payments are non-refundable except where required by law.

We may suspend or terminate your access for failed payments or fraudulent activity.

7. AI-Generated Insights Disclaimer

EliuAI uses artificial intelligence to generate insights, summaries, and recommendations.
By using the Service, you acknowledge and agree that:

  • AI outputs may contain errors, inaccuracies, or biases.
  • Insights are not professional advice and should not be relied upon for managerial, legal, or employment decisions.
  • You remain fully responsible for evaluating and acting upon any AI-generated information.

EliuAI assumes no liability for any consequences arising from decisions made based on AI outputs.

8. Data and Privacy

We take data security and privacy seriously.
By using EliuAI, you consent to our collection and use of data as described in our Privacy Policy.

You retain ownership of the content you upload or create through EliuAI.
However, you grant us a limited license to process, analyze, and store that data as necessary to operate, improve, and provide the Service.

We may use anonymized or aggregated data to improve model performance and service quality.

9. Service Availability

We strive to provide reliable uptime, but EliuAI may experience interruptions due to maintenance, technical issues, or events beyond our control.
We do not guarantee uninterrupted or error-free operation and may modify or discontinue parts of the Service at any time.

10. Termination

We may suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to EliuAI, other users, or third parties.

Upon termination:

You may cancel your subscription or account at any time through your dashboard or by contacting support.

11. Limitation of Liability

To the fullest extent permitted by law:

  • The Service is provided “as is” and “as available” without warranties of any kind.
  • EliuAI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • EliuAI is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or goodwill, even if advised of the possibility of such damages.
  • Our total liability under any claim shall not exceed the amount you paid to EliuAI in the 12 months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless EliuAI, its affiliates, officers, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising out of:

  • Your use or misuse of the Service.
  • Your violation of these Terms.
  • Any claim that your content infringes upon a third party’s rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms will be resolved by binding arbitration in Denver, Colorado, under the rules of the American Arbitration Association.
You waive the right to participate in any class action or jury trial.

Continued use of EliuAI after changes constitutes acceptance of the updated Terms.
